SITE and SHOP service conditions

A guide to our B2B model; the signed Order and Contract govern your Project.

One project, one Order

Wake Up Italy SRL designs and manages professional websites and shops. Each project has its own Order, scope, price and annexes. Only expressly included services are covered; extra pages, languages, integrations or advice require agreement. After company details are accepted, the customer completes the pre-contract questionnaire; only its reviewed and accepted version is used to prepare the commercial terms. Those answers then accompany the project, without requiring the same questionnaire again before production.

Price and term

The standard package runs for 60 months: SITE €5,940 plus VAT, paid in five annual instalments of €1,188; SHOP €11,940 plus VAT, in five annual instalments of €2,388. Custom Orders state their own final price. Advertised monthly equivalents are illustrative, not a right to monthly payment or cancellation. No separate upfront development charge does not mean development is free.

Formation and payment

The Contract takes effect through its prescribed process when the customer receives the fully signed copy. The minimum term and annual periods start then: instalments fall due at that time and after 12, 24, 36 and 48 months. The resulting schedule does not change the signed document. Tax treatment and invoices follow applicable law; a quotation or non-tax payment request is not an invoice.

Production and timing

Production requires the Contract, receipt of the first instalment, a completed questionnaire and required materials. The production month remains provisional until these prerequisites are met. SHOP’s first version is planned within 30 working days once ready for production; SITE follows its Order. Customer delays, agreed extensions and external dependencies affect timing under the Contract.

Two consolidated revision rounds

Up to two consolidated rounds are included, with one coordinated list per round submitted within seven working days. Fixing a defect or departure from the Order does not consume a round. New features, excess content or changes to an approved direction require agreement on scope, price and timing before work starts.

Final review and publication

Final review allows ten working days; if unanswered, a reminder grants five further working days under the Contract. Acceptance for closing the stage does not alone authorise publication with commercial effects or personal-data processing: the required express authorisation is separate. Our team deploys manually; the portal records links, decisions and status and does not deploy automatically.

Shopify, domains and email

SHOP uses a Shopify commerce backend in the customer’s own account at their cost, with a plan chosen before activation. Shopify subscriptions, paid apps and payment fees are separate unless expressly included. Domain costs follow the Order’s limits. Where needed, we configure MX records for the customer’s email service; the customer subscribes to and pays for that service independently.

Customer cooperation

The customer supplies accurate content, appoints a contact and checks text, images and commercial claims. They must hold rights, permissions and lawful bases and retain evidence as required by the Contract. Legal/tax advice and guarantees of revenue or rankings are not included. The provider remains responsible for its agreed technical work and mandatory duties.

Support and continuity

Hosting, maintenance and support follow the Order and annexes. The operating policy provides separate database/file backups weekly and before substantial changes, 30-day retention and quarterly recovery checks; it is not a guarantee of zero loss or instant restoration. Support is recorded in the portal; an internal response target is not an additional unagreed service-level commitment.

Renewal and exit

After 60 months, the agreement renews for 12-month periods unless notice by certified email arrives at least 60 days before the relevant expiry. Fee changes are notified at least 90 days ahead. Early termination at the customer’s request generally requires two months’ notice and the amounts, exceptions and adjustments stated in the Order, subject to mandatory law. Non-renewal, withdrawal, termination for breach and technical switching are distinct; no amount may be recovered twice.

Export, licences and governing documents

Transfer covers the assets made transferable under the Contract and Annex C, using the register’s formats, exclusions and assistance. It does not transfer the provider’s general account, others’ data, secrets or third-party proprietary infrastructure. Licence rights and exit charges depend on the applicable termination case. This summary neither expands nor restricts them; consult the signed Italian package and its document hierarchy.
